This Creator Agreement ("Creator Agreement") is a supplement to the MemberPad Terms of Service and governs your use of MemberPad as a community creator, including the creation and management of communities, the monetization of content through subscription plans and digital products, and the use of payment processing services provided through our third-party payment partner, Stripe. By creating a community on MemberPad, you acknowledge that you have read, understood, and agree to be bound by both the Terms of Service and this Creator Agreement.
In the event of any conflict between this Creator Agreement and the Terms of Service, this Creator Agreement shall control with respect to matters specific to community creation and creator monetization.
1. Overview & Acceptance
By clicking "Launch My Community" or otherwise creating a community on MemberPad, you enter into this Creator Agreement and represent that you:
- Have read and agree to the MemberPad Terms of Service and Privacy Policy
- Are legally authorized to enter into binding agreements in your jurisdiction
- Will comply with all applicable local, state, national, and international laws and regulations
- Understand that MemberPad acts as a platform provider and is not a party to any transaction between you and your members
- Accept sole responsibility for the content, products, and services you offer through your community
This Creator Agreement is effective as of the date you create your first community and remains in effect for as long as you maintain an active creator account on MemberPad, or until terminated in accordance with Section 10 of this Agreement.
2. Creator Eligibility
Age & Legal Capacity
To create and operate a community on MemberPad, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. You must have the legal capacity to enter into binding contracts. If you are creating a community on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to this Agreement.
Identity Verification
MemberPad and its payment processing partners may require you to verify your identity before you can receive payouts or access certain creator features. You agree to provide accurate, truthful, and complete identity information, including your legal name, date of birth, address, tax identification number, and any other information requested for compliance purposes. Failure to complete identity verification may result in delays to payouts, restrictions on your account, or termination of your creator privileges.
Tax Obligations
You are solely responsible for determining and fulfilling your tax obligations arising from revenue earned through MemberPad. This includes, but is not limited to, income taxes, sales taxes, value-added taxes (VAT), goods and services taxes (GST), and any other taxes required by your jurisdiction. MemberPad may be required to report your earnings to tax authorities (e.g., IRS Form 1099 in the United States) and you agree to provide any information necessary for such reporting, including a valid W-9 or W-8BEN form as applicable. MemberPad does not provide tax advice and recommends that you consult a qualified tax professional.
3. Community & Content Standards
Creator Responsibilities
As a community creator, you are responsible for the overall health, safety, and compliance of your community. This includes:
- Setting clear community guidelines and enforcing them consistently
- Moderating user-generated content within your community in a timely manner
- Responding to member complaints, concerns, and support inquiries within a reasonable timeframe
- Ensuring all content you publish is accurate, not misleading, and does not constitute fraud
- Clearly and conspicuously disclosing any sponsored content, affiliate relationships, paid partnerships, or material conflicts of interest
- Complying with applicable advertising and consumer protection laws, including FTC disclosure requirements
Content Standards
All content published within your community must comply with the content standards outlined in the Terms of Service. In addition, as a creator you agree that your community and its content will not:
- Promote, facilitate, or provide instructions for any illegal activity
- Contain sexually explicit content involving minors, non-consensual content, or content that exploits or endangers any person
- Promote regulated goods or services (firearms, pharmaceuticals, controlled substances, gambling) without required licenses and disclosures
- Constitute a pyramid scheme, multi-level marketing program, or other fraudulent business model
- Offer unregistered securities, unregulated investment advice, or financial products in violation of applicable securities laws
- Make false, misleading, or unsubstantiated claims about earnings, results, or outcomes to attract members or sell products
- Infringe upon the intellectual property rights of any third party, including unauthorized use of copyrighted material, trademarks, or trade secrets
Content Removal & Enforcement
MemberPad reserves the right, but is not obligated, to review, monitor, or remove any content that violates this Agreement, the Terms of Service, or applicable law. We may take action against content or creators based on reports from members, automated detection systems, legal requests, or our own review processes. Actions may include content removal, content warnings, community restriction, account suspension, or account termination, at our sole discretion.
4. Child Safety Standards
MemberPad has zero tolerance for child sexual abuse and exploitation ("CSAE") on the platform. As a creator, you bear primary responsibility for the safety of minors within the community you operate. Your obligations under this Section 4 supplement, and do not replace, the content prohibitions in Section 3.
Prohibited Conduct
You will not, and will not permit any member, co-moderator, or agent of your community to, post, upload, share, host, link to, solicit, facilitate, or otherwise make available any of the following within your community:
- Child sexual abuse material ("CSAM"), including any image, video, audio, text, animation, or computer-generated depiction that sexualizes a minor, whether real, fictional, or artificially generated
- Content or conduct that grooms, entices, or coerces a minor into sexual activity, the production of sexual imagery, or an exploitative relationship of any kind
- Sextortion, or any threat to produce, obtain, distribute, or withhold sexual content involving a minor
- Sexualized commentary on a minor's body, clothing, or behavior, including sexualized role-play or fictional depictions
- Advertising, soliciting, facilitating, or promoting the commercial sexual exploitation or trafficking of a minor
- Links, directions, or invitations to CSAM hosted on any external service, file host, cloud drive, or messaging platform
- Accounts that impersonate a minor for the purpose of contacting, grooming, or exploiting other users
Creator Affirmative Duties
In addition to refraining from the conduct above, while you operate a community on MemberPad you agree that you will:
- Moderate proactively. Establish and enforce community guidelines that explicitly prohibit CSAE, and review member-generated content, chat, and messages on a reasonable and ongoing basis using the moderation tools MemberPad provides.
- Report within 24 hours. Notify MemberPad at support@memberpad.com within 24 hours of becoming aware of any content or conduct in your community that you reasonably believe violates this Section 4 or constitutes CSAE, regardless of whether you have already removed the user from your community.
- Preserve evidence. Do not delete reported content, related messages, account activity logs, or other materials that MemberPad or law enforcement may request. You will comply with any preservation, hold, or investigation request issued by MemberPad in connection with a suspected CSAE incident.
- Cooperate with investigations. Respond to MemberPad's internal investigations within the timeframe we specify, and provide truthful and complete information. Respond to valid law enforcement inquiries directed to you in accordance with applicable law.
- Do not obstruct reporting. Do not discourage, retaliate against, or penalize any member who submits a good-faith CSAE report through MemberPad's in-app reporting tools, directly to MemberPad, or to law enforcement.
- Apply these standards to co-moderators and agents. If you authorize any co-administrator, moderator, or agent to act within your community, you are responsible for ensuring they comply with this Section 4 and for any violation attributable to them.
Enforcement & Consequences
A violation of this Section 4 — whether committed by you or by a member of your community whose conduct you failed to address in accordance with your affirmative duties above — constitutes a material breach of this Creator Agreement. MemberPad may, at its sole discretion and without prior notice:
- Immediately remove the offending content and suspend or terminate the responsible member's account
- Suspend or terminate your community and your creator account pursuant to Section 10 of this Agreement
- Withhold pending payouts and apply reserves pursuant to Section 6 of this Agreement
- Report the incident to the National Center for Missing & Exploited Children ("NCMEC") and to law enforcement, and preserve records as required by 18 U.S.C. § 2258A
- Cooperate with law enforcement agencies, including providing identifying information about your account, your community, and the content involved
Cross-Reference
The procedural framework MemberPad follows when a CSAE report is received — including detection tools, review timelines, and escalation to NCMEC — is described in MemberPad's Child Safety Standards page, which is incorporated into this Agreement by reference as it applies to you. Where the Child Safety Standards page and this Section 4 address the same subject matter, this Section 4 controls with respect to your contractual obligations as a creator.
5. Payments, Stripe & Financial Compliance
Stripe Connected Accounts
MemberPad uses Stripe as its payment processing infrastructure. To receive payments from members, you must create and maintain a Stripe Connected Account. By doing so, you agree to be bound by the Stripe Connected Account Agreement, including the Stripe Terms of Service (collectively, the "Stripe Agreements"). You acknowledge that MemberPad is not a party to the Stripe Agreements and has no liability for Stripe's actions or omissions.
Stripe Compliance Requirements
You agree to comply with all applicable Stripe policies, including but not limited to:
- Restricted Businesses: You will not use Stripe or MemberPad to process payments for any business, product, or service that is listed on Stripe's Restricted Businesses list, including but not limited to illegal products or services, counterfeit goods, regulated substances, adult content outside Stripe's acceptable use policies, and high-risk financial services
- Anti-Money Laundering (AML): You will not use MemberPad or Stripe to launder money, structure transactions to avoid reporting thresholds, or facilitate any form of financial crime
- Know Your Customer (KYC): You will promptly provide any information requested by Stripe or MemberPad to satisfy KYC requirements, including government-issued identification, proof of address, business registration documents, and beneficial ownership information
- Sanctions Compliance: You represent that you are not located in, or a national or resident of, any country subject to U.S., EU, or UN sanctions, and that you are not listed on any government-maintained list of prohibited or restricted parties (including OFAC's SDN List)
- PCI Compliance: You will not directly handle, store, or transmit credit card numbers or sensitive cardholder data outside of Stripe's designated payment flows
Payment Disputes & Chargebacks
You acknowledge that members may dispute charges or initiate chargebacks with their payment provider. You are responsible for the costs associated with chargebacks, including any fees imposed by Stripe, and you agree to cooperate with MemberPad and Stripe in responding to disputes. Excessive chargebacks (as determined by Stripe or card network thresholds) may result in increased processing fees, payout holds, account restrictions, or termination of your payment processing capabilities. MemberPad reserves the right to deduct chargeback amounts and associated fees from your pending payouts or future earnings.
Refund Policy
The MemberPad Refund Policy establishes the minimum refund standards that apply to all transactions processed through the platform. As a creator, you must, at a minimum, adhere to the MemberPad Refund Policy in full. This includes honoring the platform's default refund windows for subscriptions, digital products, free trial conversions, and renewal charges as described in the Refund Policy.
At your discretion, you may offer a more lenient refund policy for your community and products — for example, longer refund windows, unconditional money-back guarantees, or no-questions-asked return policies. However, you may not impose refund terms that are less favorable to members than the platform defaults set forth in the MemberPad Refund Policy. Any custom refund policy you establish must be clearly displayed on your community profile page and presented to members at checkout before they complete a purchase.
In the absence of a clearly communicated custom refund policy, the platform-wide Refund Policy will apply to all transactions within your community. MemberPad reserves the right to issue refunds to members on your behalf in cases of fraud, unauthorized transactions, creator account closure, or where required by applicable consumer protection law, and to deduct such refund amounts from your pending payouts or account balance. Creators who repeatedly fail to honor their stated refund policies or the platform minimums may be subject to account review, payout holds, or termination under Section 10 of this Agreement.
6. Revenue, Fees & Payouts
Platform Fees
MemberPad charges a platform fee on all revenue processed through the platform. The current fee structure is displayed on our pricing page and may be updated from time to time with reasonable advance notice. Platform fees are deducted from gross revenue before payouts. Stripe also charges its own payment processing fees (as detailed in the Stripe Agreements), which are separate from and in addition to MemberPad's platform fees.
Payouts
Payouts are processed according to the schedule configured in your Stripe Connected Account, subject to any holds or delays described in this Agreement. MemberPad and Stripe may hold funds for a reasonable period to account for potential refunds, chargebacks, or disputes. You are responsible for ensuring your payout information (bank account, routing number, etc.) is accurate and up to date. MemberPad is not liable for delays or errors in payouts caused by incorrect payout information, Stripe processing delays, bank holidays, or circumstances beyond our reasonable control.
Reserve & Hold Rights
MemberPad and/or Stripe may establish a reserve on your account or delay payouts if:
- Your account has an elevated rate of refunds, chargebacks, or disputes
- There is a reasonable suspicion of fraudulent activity, terms violations, or financial irregularities
- Required by law, regulation, court order, or government investigation
- Your Stripe Connected Account is under review by Stripe
- You have an outstanding negative balance from refunds or chargebacks
Reserve amounts and payout hold durations will be determined based on the specific circumstances and risk factors involved. We will notify you of any reserve or hold and the reasons for it, except where prohibited by law or where notification could compromise an ongoing investigation.
7. Prohibited Activities
In addition to the prohibited activities described in the Terms of Service, as a creator you specifically agree not to:
- Misrepresent your identity, qualifications, credentials, certifications, or experience to attract members or sell products and services
- Make false, exaggerated, or unsubstantiated income claims, earnings guarantees, or promises of financial results
- Manipulate reviews, ratings, member counts, or engagement metrics through fake accounts, purchased followers, or other artificial means
- Engage in price manipulation, bait-and-switch tactics, or deceptive subscription practices (e.g., advertising a price then charging a different amount)
- Attempt to circumvent MemberPad's fee structure by directing members to pay through alternative channels to avoid platform fees
- Use MemberPad to collect member payment information for use outside the platform
- Create multiple communities or accounts to evade enforcement actions, bans, restrictions, or fee structures
- Engage in any form of market manipulation, insider trading, front-running, or pump-and-dump schemes if your community involves financial content, stock picks, or investment advice
- Provide personalized investment advice, legal advice, medical advice, or other professional services without the required licenses and disclosures in your jurisdiction
- Sell or resell access to your community or its content in violation of any applicable license restrictions
- Promote your community through unsolicited bulk email (spam), purchased email lists, scraped contact information, or any other recipient who has not opted in to receive marketing from you — see Section 8 for details
8. Member Relationships & Obligations
Relationship with Members
You acknowledge and agree that the relationship between you and your members is an independent contractual relationship. MemberPad is a platform provider and is not a party to any agreement between you and your members. You are solely responsible for the products, services, and content you offer, and for fulfilling any promises, representations, or commitments you make to your members.
Marketing & Promotion of Your Community
You may not promote your MemberPad community using unsolicited bulk email, cold email outreach, purchased or rented email lists, scraped contact information, or messages sent to any recipient who has not given clear, affirmative consent to receive marketing from you. This prohibition applies whether the email is sent through MemberPad, a third-party service, or your own infrastructure, and it applies to invitations, referral campaigns, launch announcements, and every other form of community promotion.
You are solely responsible for ensuring every recipient of your marketing has a documented, verifiable opt-in, and for complying with all applicable anti-spam and email marketing laws, including the U.S. CAN-SPAM Act, Canada's CASL, the EU and UK GDPR/PECR, and any equivalent law in your members' jurisdictions. Violations may result in immediate community suspension, account termination, forfeiture of pending payouts, and referral to applicable regulators.
Member Communication
You agree to communicate with your members honestly, transparently, and in a timely manner. You must clearly disclose all material terms of your subscription plans, including pricing, billing frequency, cancellation terms, and what members will receive. You must not send unsolicited communications to members who have opted out or unsubscribed from your communications, and you must comply with applicable email marketing laws (including CAN-SPAM, CASL, and GDPR).
Subscription Commitments
If you offer paid subscription plans, you are expected to provide ongoing value to your paying members. This includes regularly publishing content, maintaining community spaces, and delivering on the promises made in your subscription descriptions. Abandoning a community with active paying subscribers without notice, or significantly reducing the value provided without adjusting pricing, may constitute grounds for enforcement action, including forced refunds to affected members at your expense.
9. Data Privacy & Member Information
As a creator, you may have access to certain member information through your community dashboard, including display names, profile images, join dates, and subscription status. You agree to:
- Handle all member information in accordance with MemberPad's Privacy Policy and all applicable data protection laws (including GDPR, CCPA, and other applicable privacy regulations)
- Not sell, share, rent, or disclose member personal information to third parties without the member's explicit consent
- Not export, scrape, or bulk-download member data from the platform
- Not use member information for purposes unrelated to your community on MemberPad
- Promptly delete or anonymize any member data you hold outside the platform upon a member's request or upon termination of your creator account
- Promptly notify MemberPad if you become aware of any unauthorized access to or disclosure of member information
MemberPad processes member data as described in our Privacy Policy and acts as a data processor on your behalf for certain data processing activities related to your community. You are the data controller for member data associated with your community and are responsible for ensuring that your use of member data complies with applicable law.
10. Account Suspension, Termination & Holds
Suspension & Restriction
MemberPad reserves the right, at its sole discretion, to suspend, restrict, or limit your creator account and/or your community at any time, with or without prior notice, for any of the following reasons:
- Violation or suspected violation of this Creator Agreement, the Terms of Service, or any applicable law
- Violation or suspected violation of Stripe's terms, policies, or restricted business categories
- Excessive chargebacks, refund requests, or member complaints
- Failure to respond to verification, identity, or compliance requests within the timeframe specified
- Receipt of a legal notice, subpoena, court order, or government inquiry relating to your account or community
- Reports of fraudulent, deceptive, harmful, or illegal activity associated with your account or community
- Stripe suspending, restricting, or terminating your Connected Account for any reason
- Prolonged inactivity or abandonment of your community while active paid subscriptions exist
- Any other reason where continued access poses a risk to MemberPad, its users, its partners, or the integrity of the platform
Termination
MemberPad may permanently terminate your creator account and remove your community for severe, repeated, or uncorrected violations. Upon termination:
- Your community will be immediately deactivated and made inaccessible to members
- Active member subscriptions will be cancelled, and members may receive prorated refunds at MemberPad's discretion
- Pending payouts may be held for up to 180 days to account for potential refunds, chargebacks, and disputes
- After the hold period, remaining funds (if any) will be released to you, minus any amounts owed for refunds, chargebacks, fees, or damages
- MemberPad may retain records related to your account as required by law or for legitimate business purposes
- You will not create a new creator account or community without MemberPad's prior written consent
Voluntary Closure
You may voluntarily close your community at any time through your account settings. If you have active paying subscribers, you agree to provide at least 30 days' notice to your members before closing your community. Upon voluntary closure, the same payout hold provisions described above will apply. You remain responsible for any chargebacks, refunds, or disputes that arise after closure.
Effect on Stripe Account
Termination or suspension of your MemberPad creator account may result in restrictions on or termination of your Stripe Connected Account. Conversely, if Stripe terminates or restricts your Connected Account for any reason, your ability to receive payments through MemberPad will be immediately affected, and MemberPad may suspend or terminate your creator account accordingly. MemberPad is not liable for any actions taken by Stripe with respect to your Connected Account.
11. Indemnification
You agree to indemnify, defend, and hold harmless MemberPad LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your breach of this Creator Agreement or the Terms of Service
- Your community content, products, services, or interactions with members
- Any claims by your members, including claims related to refunds, chargebacks, product quality, false advertising, or unfulfilled promises
- Your violation of any applicable law, regulation, or third-party right
- Any tax liability arising from your earnings on MemberPad
- Any action taken by Stripe against your Connected Account as a result of your conduct
This indemnification obligation shall survive the termination of this Agreement and your creator account.
12. Modifications to This Agreement
MemberPad reserves the right to modify this Creator Agreement at any time. When we make material changes, we will update the "Last updated" date at the top of this page and provide notice through at least one of the following methods: email to the address associated with your account, a prominent notice in your creator dashboard, or a notification within the platform.
Material changes will take effect no sooner than 30 days after notice is provided, except for changes required by law, changes related to Stripe policy updates, or changes addressing security concerns, which may take effect immediately. Your continued use of MemberPad as a creator after the effective date of any modification constitutes your acceptance of the modified Agreement. If you do not agree to the modified terms, you must stop using the platform as a creator before the changes take effect.
