These Terms of Service ("Terms") govern your access to and use of the MemberPad platform, website, and services (collectively, the "Service") provided by MemberPad LLC ("MemberPad," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using MemberPad in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference. These Terms constitute a legally binding agreement between you and MemberPad.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" as used in these Terms refers to both you individually and the organization. We reserve the right to refuse access to the Service to anyone for any reason at any time.
2. Account Registration
Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), to create an account or otherwise use MemberPad. MemberPad is not directed to, and is not intended for use by, individuals under the age of 18. By registering for an account, you represent and warrant that you meet this age requirement. If we become aware that a user is under 18, we will terminate the account and delete associated personal information as described in our Privacy Policy.
Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password and any other authentication information associated with your account. You agree to notify us immediately of any unauthorized access to or use of your account. MemberPad will not be liable for any loss or damage arising from your failure to secure your account credentials. We strongly recommend enabling all available security features, including strong passwords that meet our minimum requirements.
Account Accuracy
You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete. You may not use another person's account without permission or create an account using false or misleading information.
3. Creator Obligations
If you create a community on MemberPad, you are also subject to the Creator Agreement, which contains additional terms governing community creation, monetization, payment processing, Stripe compliance, and account enforcement. The Creator Agreement is incorporated by reference into these Terms of Service. You will be required to agree to the Creator Agreement before creating your community.
Content Standards
As a creator on MemberPad, you are solely responsible for all content you post, share, or distribute through your community. You agree that your content will be accurate and truthful, will not infringe upon the intellectual property rights of any third party, and will comply with all applicable laws and regulations. You must clearly disclose any sponsored content, affiliate relationships, or material connections that could affect the perceived objectivity of your content.
Prohibited Content
Creators may not post, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. This includes but is not limited to content that promotes violence, discrimination, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
Child Safety
MemberPad has zero tolerance for child sexual abuse and exploitation ("CSAE"). Content or conduct that sexualizes, grooms, coerces, exploits, endangers, or commercially traffics a minor is strictly prohibited and will result in immediate removal of the content, termination of the responsible account, a report to the National Center for Missing & Exploited Children ("NCMEC") as required by 18 U.S.C. § 2258A, and cooperation with law enforcement. The specific standards, prohibited conduct, reporting channels, and enforcement actions that apply to MemberPad are described in our Child Safety Standards. Creators are further subject to the affirmative duties set forth in Section 4 of the Creator Agreement, including proactive moderation, mandatory 24-hour reporting to MemberPad, evidence preservation, and cooperation with investigations.
Intellectual Property
You retain ownership of all content you create and post on MemberPad. By posting content, you grant MemberPad a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display your content solely for the purpose of operating and providing the Service. This license terminates when you delete your content or close your account, except where your content has been shared with others and they have not deleted it, or where retention is required by law.
4. Member Conduct
Community Guidelines
As a member of any community on MemberPad, you agree to treat other users with respect and to contribute constructively to discussions and interactions. You agree to follow the specific community guidelines established by each community's creator, in addition to these Terms. Community guidelines set by creators may impose additional rules and restrictions beyond what is outlined here, and violation of community-specific guidelines may result in removal from that community at the creator's discretion.
Prohibited Behavior
You agree not to engage in any of the following activities while using MemberPad:
- Posting, sharing, soliciting, or linking to any content or conduct that sexualizes, exploits, grooms, coerces, or endangers a minor, as further described in our Child Safety Standards
- Harassing, bullying, intimidating, or threatening other users
- Impersonating any person or entity, or falsely claiming an affiliation with any person or entity
- Impersonating a minor for the purpose of contacting, grooming, or exploiting other users
- Sharing another user's personal information without their explicit consent
- Using automated systems, bots, or scripts to access the Service without our prior written permission
- Attempting to gain unauthorized access to other users' accounts, computer systems, or networks
- Distributing spam, unsolicited promotions, or chain messages
- Interfering with or disrupting the integrity or performance of the Service
- Circumventing or attempting to circumvent any content filtering, access controls, or security features
5. Subscription & Payments
Billing
MemberPad offers both free and paid subscription plans. Paid subscriptions are billed on a recurring basis (monthly or annually, as selected at the time of purchase) unless cancelled before the end of the current billing period. By subscribing to a paid plan, you authorize MemberPad to charge your designated payment method on a recurring basis. All prices are displayed in U.S. dollars unless otherwise stated, and are exclusive of any applicable taxes, which will be calculated and added at checkout.
Refunds
Creator-side subscription fees for MemberPad platform access are generally non-refundable, except where required by applicable law. If you believe you have been charged in error, please contact our support team within 14 days of the charge. For member-side subscriptions to individual creator communities, refund policies are set by each creator and are subject to their terms. MemberPad facilitates the payment processing but does not guarantee refunds for community subscriptions.
Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew. You will retain access to paid features for the remainder of your billing period. No partial refunds are provided for unused portions of a billing period. If you cancel a creator subscription, your community will be downgraded to the free tier at the end of the billing period.
6. Intellectual Property
Platform Intellectual Property
The MemberPad platform, including its website, applications, design, graphics, logos, trademarks, service marks, and all underlying technology, software, and content (excluding user-generated content), are the exclusive property of MemberPad LLC and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform or its underlying technology without our prior written consent.
User Content License
While you retain all ownership rights to the content you create and post on MemberPad, you grant us a limited license to use that content as necessary to operate and improve the Service. This includes the right to display your content to other users, to store and back up your content, and to make technical modifications necessary for compatibility with our systems. We will never sell your content to third parties or use it for purposes unrelated to providing the Service without your explicit consent.
7. Limitation of Liability
To the maximum extent permitted by applicable law, MemberPad, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.
MemberPad's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to MemberPad in the twelve months prior to the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00). This limitation of liability applies regardless of the legal theory upon which the claim is based, whether MemberPad has been advised of the possibility of such damages, and whether a remedy set forth herein is found to have failed of its essential purpose.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. MemberPad does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
8. Termination
Termination by You
You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to use the Service will immediately cease. If you are a creator with active subscribers, we recommend providing reasonable notice to your community before closing your account. Any outstanding payments owed to you will be processed according to our standard payout schedule.
Termination by MemberPad
We reserve the right to suspend or terminate your account, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. In cases involving serious violations such as illegal activity, fraud, or content that poses a safety risk, we may terminate your account immediately. For less severe violations, we will generally provide a warning and an opportunity to correct the behavior before taking action, though we are not obligated to do so.
Effect of Termination
Upon termination of your account, your right to access and use the Service will immediately cease. We may delete your account data, including your profile information, content, and community data, within a reasonable period following termination, though some information may be retained as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court having jurisdiction thereof. You agree that any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide additional notice, such as sending an email to the address associated with your account or displaying a prominent notice within the Service. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
If you do not agree with the modified Terms, you should discontinue your use of the Service before the changes take effect. We encourage you to review these Terms periodically to stay informed of any updates. Material changes will not apply retroactively and will become effective no sooner than 30 days after they are posted, except for changes addressing new functions of the Service or changes made for legal reasons, which will be effective immediately.
